Throughout the Ella D’Aloia website, online courses, and in-person events, the terms “we”, “us” and “our” refer to Ella D’Aloia. Ella D’Aloia offers this website and all of its other sites, including all information, tools and services available from these sites to you, the user, conditioned upon your acceptance of all terms, conditions, policies and notices stated here.
By visiting our sites and/ or purchasing something from us, you engage in our “Service” and agree to be bound by the following terms and conditions (“Terms of Service”, “Terms”), including those additional terms and conditions and policies referenced herein and/or available by hyperlink. These Terms of Service apply to all users of the site, including without limitation users who are browsers, vendors, customers, merchants, and/ or contributors of content.
Please read these Terms of Service carefully before accessing or using our websites. By accessing or using any part of the sites, you agree to be bound by these Terms of Service. If you do not agree to all the terms and conditions of this agreement, then you may not access the websites or use any services. If these Terms of Service are considered an offer, acceptance is expressly limited to these Terms of Service.
Any new features or tools which are added to the current store shall also be subject to the Terms of Service. You can review the most current version of the Terms of Service at any time on this page. We reserve the right to update, change or replace any part of these Terms of Service by posting updates and/or changes to our website. It is your responsibility to check this page periodically for changes. Your continued use of or access to the website following the posting of any changes constitutes acceptance of those changes.
Our store is hosted on Square Space. They provide us with the online e-commerce platform that allows us to sell our products and services to you.
1. Terms
1.1 General Terms and Conditions: the General Terms and Conditions used by Ella D’Aloia, which are published on the website of Ella D’Aloia, www.ella-daloia.com These General Terms and Conditions can also always be downloaded from the website.
1.2 Enrollment: enrollment for the Coaching, Workshops, Courses, and Retreats organised by Ella D’Aloia can be done through the website, or by direct communication with Ella, and also paying the deposit or the total amount, either way both require Ella’s approval and are subject to termination by Ella D’Aloia. There is an enrollment agreement when Ella confirms the booking by sending a personal e-mail to the participant.
1.3 Participant: the person that participates in a Coaching Session, Workshop, Course, Retreat organised by Ella D’Aloia
1.4 Deposit: in case a Coaching Session, Workshop, Course, or Retreat are not paid in full at the time of enrollment, the participant pays a deposit, which counts as a deposit for access to the first level of the Workshop, Course, Curriculum, Coaching Session, Lesson, or Training.
1.5 Ella D’Aloia PTY LTD is located in Melbourne, Victoria Australia, ABN 43 490 388 355. When Ella D’Aloia uses the terms “we” “us” or “I” it is referring to itself, the educational entity.
1.6 Price: the total price of the Workshops, Courses, Coaching Sessions, and Retreats, including the Deposit.
1.7 Workshops, Courses, Coaching Sessions, and Retreats: the Workshops, Courses, Lessons, and Retreats organised by Ella D’Aloia
1.8 Participant: the person that has a confirmed enrollment and will be present at a Workshop, Course, Coaching Session, or Retreat organised by Ella D’Aloia
1.9 Website: the websites of Ella D’Aloia: www.ella-daloia.com
2. Applicability
2.1 The General Terms and Conditions apply to all Workshops, Courses, Coaching Sessions, Retreats, and Digital Content. In case of sending an inquiry or booking request for a Workshop, Course, Coaching Session, or Retreat, the participant agrees to these General Terms and Conditions and the payment conditions of this Workshop, Course, Coaching Session, or Retreat.
2.2 Ella D’Aloia may change these General Terms and Conditions from time to time. The most recent version of the General Terms and Conditions is always the valid version and is always available on the Website.
2.3 By agreeing to these Terms of Service, you represent that you are at least the age of majority in your state or province of residence, or that you are the age of majority in your state or province of residence and you have given us your consent to allow any of your minor dependents to access any of the websites or information made available by Ella D’Aloia.
2.4 You may not use our products for any illegal or unauthorised purpose nor may you, in the use of the Service, violate any laws in your jurisdiction (including but not limited to copyright laws). A breach or violation of any of the Terms will result in an immediate termination of your Services.
2.5 We reserve the right to refuse service to anyone for any reason at any time.
You understand that your content (not including credit card information), may be transferred unencrypted and involve (a) transmissions over various networks; and (b) changes to conform and adapt to technical requirements of connecting networks or devices.
2.6 We do not warrant that the quality of any products, services, information, or other material purchased or obtained by you will meet your expectations, or that any errors in the Service will be corrected.
3. Participation in a Workshop, Course, Coaching Session, Lesson, Training or Retreat and Registration fee
3.1 A Participant may participate in a Workshop, Course, Coaching Session, or Retreat after this participant has been approved by and registered with Ella D’Aloia in advance and has paid the Price. Registration can be done via the Website or by e-mail to hello@ella-daloia.com
3.2 For some Workshops, Courses, Coaching Sessions, and Retreats, a so-called early booking discount may apply. This reduced rate is valid until the date stated on the Website. After this date, the normal rate, also mentioned on the Website, applies without exception.
3.3 All in-person training costs are the responsibility of the participant including transportation to and from the venue, supplies, clothing, personal health insurance (which is mandatory).
3.4 If the participant is not comfortable, not enjoying, not satisfied with any component of the in person trainings or workshops, courses, coaching, retreats, etc, that is not the responsibility of Ella D’Aloia. If the participant decides not to complete their Workshop, Course, Coaching Session, or Retreat, they will not be given a refund.
3.5 You agree not to reproduce, duplicate, copy, sell, resell or exploit any portion of the Service, use of the Service, or access to the Service or any contact on the website through which the service is provided, without express written permission by us.
4. Payment
4.1 Participation in a Workshop, Course, Coaching Session, or Retreat must be paid prior to the activity to be followed. Payment can be made via a direct bank transfer to the bank account of Ella D’Aloia, or can be made via Stripe or PayPal or any other way of paying via the Website
4.2 When participating in a Workshop, Course, Coaching Session, or Retreat, the Deposit must be paid no later than 7 days after booking confirmation. The remaining amount of the Price must be paid in accordance with the agreed upon payment plan, and no later than 30 days before the start of the planned Workshop, Course, Coaching Session, or Retreat.
4.3 For bookings that occur less than 30 days before the start of the Workshop, Course, Coaching Session, or Retreat, the entire amount of the Price must be paid immediately (within 24 hours after booking confirmation).
4.4 In case of overdue payment Ella D’Aloia has the right to cancel the booking. However, this does not release the participant from his payment obligation.
4.5 Prices for our products are subject to change without notice. We reserve the right at any time to modify or discontinue the Service (or any part or content thereof) without notice at any time. We shall not be liable to you or to any third-party for any modification, price change, suspension or discontinuance of the Service.
4.6 Deposits are non refundable. Once a deposit is paid, you will be given access to the first section/level/stage of education for your given program. If you are not happy with the course, or if you are unsatisfied, you may terminate your payment plan at any time. You are responsible for ending your payments if you do not want to continue. All monies paid via payment plans are non-refundable.
4.7 Once you have received your online curriculum, you will have lifetime access to everything that you have paid for subject to availability. Ella D’Aloia will try and keep the information available at all times to the best of its abilities, however occasional website maintenance or course updating means that you may occasionally not be able to view course content. All courses are downloadable (except for some videos and hyperlinks) so at any time you may choose to download the course content to preserve your access.
5. Cancellation Workshop, Course, Coaching Session, or Retreat
Up to 7 days after booking the Workshop, Course, Coaching Session, or Retreat, or up to 7 days after signing the agreement, or up to 90 days before the start of the Workshop, Course, Coaching Session, or Retreat the participant can cancel their presence at the Workshop, Course, Coaching Session, or Retreat, for a refund minus the deposit, as long as they have not viewed/accessed any educational materials related to their workshop, course, Coaching Session, or retreat. After this period the following agreements apply:
5.1 Cancellation of participation in a planned Workshop, Course, Coaching Session, or Retreat can only take place by e-mail. By e-mail: hello@ella-daloia.com
5.2 Cancellation between 90 days and four weeks before the start: the participant will pay 75% of the Price;
5.3 Cancellation between 30 days before the start and the actual start: the participant will pay 100% of the Price;
5.4 In the event of cancellation by Ella D’Aloia for well-grounded reasons, such as insufficient participants, illness of a member of Ella D’Aloia’s team or in case of force majeure, the participant will be offered an alternative Workshop, Course, Coaching Session, or Retreat for the same monetary value (via a new contract) or the already (possibly only the deposit ) paid Price to Ella D’Aloia will be refunded. The participant will always be informed of this cancellation at least 1 hour before the start of the Workshop, Course, Coaching Session, or Retreat.
5.5 Participation in the program during the Workshop, Course, Coaching Session, or Retreat is on a voluntary basis. Participants are free to refrain from the program to be followed. Withdrawal from participation in the program or a part thereof does not entitle the participant to reimburse the already paid Deposit and/or Price and the participant also has no right to a substitute activity. In the case of a certifiable course or training, by quitting/leaving early for any reason the student understands that they may no longer be eligible to graduate, and will have to pay for, and receive explicit approval from Ella to attend a future training/certification. The student understands that this may mean the end of their education with Ella D’Aloia, and that they might never receive a certification.
6. Cancellation participation In-Person or Online Training
6.1 Up to six weeks before the planned date of the Training, the Participant can cancel their registration free of charge. This can be e-mailed to hello@ella-daloia.com
6.2 After six weeks, the participant is liable for their costs of attendance (for example their percentage of venue hire and food costs). This means that if in the future they should choose to attend a future training, they will be required to pay a fee set by Ella D’Aloia to cover their attendance (note: this may be higher in the case of food or venue costs increasing).
6.3 If the Participant cancels his registration within 7 days before the planned date of the Workshop, no registration fee will be refunded.
6.4 Ella D’Aloia reserves the right to cancel the Workshop if there are valid reasons, including insufficient participants, illness of the teacher or force majeure. In that case, the Price already paid by the Participants will be refunded.
7. Program and location Workshop, Course, Coaching Session, or Retreat and location
7.1 You can find the program of the Workshop, Course, Coaching Session, or Retreat on the website. Ella D’Aloia reserves the right to change the program at any time. Any changes will, as far as possible, be announced in advance by means of a message on the website and/or by text or e-mail.
7.2 The location where the Workshop, Course, Coaching Session, or Retreat takes place can be found on the website. Ella D’Aloia reserves the right to change the location at any time should this be necessary. If this is the case, the Workshop, Course, Coaching Session, or Retreat will take place in a location with similar facilities. Any changes will, as far as possible, be announced in advance by means of a message on the website and/or by text e-mail.
8. Accuracy, completeness and timeliness of information
8.1 We are not responsible if information made available by Ella D’Aloia is not accurate, complete or current. The material is provided for general information only and should not be relied upon or used as the sole basis for making decisions without consulting primary, more accurate, more complete or more timely sources of information. If you need medical advice yourself or for your own client(s), you must speak with a medical professional as Ella D’Aloia does not provide medical advice.
This site may contain certain historical information. Historical information, necessarily, is not current and is provided for your reference only. We reserve the right to modify the contents of this site at any time, but we have no obligation to update any information on our site. You agree that it is your responsibility to monitor changes to our site.
9. Third-Party
9.1 We may provide you with access to third-party tools over which we neither monitor nor have any control nor input. You acknowledge and agree that we provide access to such tools “as is” and “as available” without any warranties, representations or conditions of any kind and without any endorsement. We shall have no liability whatsoever arising from or relating to your use of optional third-party tools. Any use by you of optional tools offered through the site is entirely at your own risk and discretion and you should ensure that you are familiar with and approve of the terms on which tools are provided by the relevant third-party provider(s). We may also, in the future, offer new services and/or features through the website (including, the release of new tools and resources). Such new features and/or services shall also be subject to these Terms of Service.
9.2 Certain content, products and services available via our Service may include materials from third-parties or guest lecturers. Third-party links on this site may direct you to third-party websites that are not affiliated with us. We are not responsible for examining or evaluating the content or accuracy and we do not warrant and will not have any liability or responsibility for any third-party materials or websites, or for any other materials, products, or services of third-parties including guest lecturers. We are not liable for any harm or damages related to the purchase or use of goods, services, resources, content, or any other transactions made in connection with any third-party websites. Please review carefully the third-party's policies and practices and make sure you understand them before you engage in any transaction. Complaints, claims, concerns, or questions regarding third-party products should be directed to the third-party.
10. Own risk & Liability
10.1 Participating in the program is at your own risk. Ella D’Aloia accepts no liability whatsoever for bodily injury, damage and/or loss of property related to carrying out the activities associated with the Workshops, Courses, Coaching Session, and Retreats at Ella D’Aloia. By participating in a Workshop, Course, Coaching Session, or Retreat at Ella D’Aloia the Participant accepts this risk of an injury.
10.2 We do not guarantee, represent or warrant that your use of our service will be uninterrupted, timely, secure or error-free.
10.3 We do not warrant that the results that may be obtained from the use of the service will be accurate or reliable.
10.4 You agree that from time to time we may remove the service for indefinite periods of time or cancel the service at any time, without notice to you.
10.5 You expressly agree that your use of, or inability to use, the service is at your sole risk. The service and all products and services delivered to you through the service are (except as expressly stated by us) provided 'as is' and 'as available' for your use, without any representation, warranties or conditions of any kind, either express or implied, including all implied warranties or conditions of merchantability, merchantable quality, fitness for a particular purpose, durability, title, and non-infringement.
10.6 In no case shall Ella D’Aloia, our directors, officers, employees, affiliates, agents, contractors, interns, suppliers, service providers or licensors be liable for any injury, loss, claim, or any direct, indirect, incidental, punitive, special, or consequential damages of any kind, including, without limitation lost profits, lost revenue, lost savings, loss of data, replacement costs, or any similar damages, whether based in contract, tort (including negligence), strict liability or otherwise, arising from your use of any of the service or any products procured using the service, or for any other claim related in any way to your use of the service or any product, including, but not limited to, any errors or omissions in any content, or any loss or damage of any kind incurred as a result of the use of the service or any content (or product) posted, transmitted, or otherwise made available via the service, even if advised of their possibility. Because some states or jurisdictions do not allow the exclusion or the limitation of liability for consequential or incidental damages, in such states or jurisdictions, our liability shall be limited to the maximum extent permitted by law.
10.7 Ella D’Aloia does not certify or confirm the qualifications of any of the organisers, or staff, or volunteers, or sub-contractors, or agents to lead or manage or set-up activities nor are they trained to respond during an emergency by providing first aid, or CPR. The activities officially begin and end at the location(s) designated by Ella D’Aloia. I am personally responsible for all risks associated with travelling to and from the beginning and end points of the activities.
If I decide to leave early and not to complete the activity as planned, I assume all risks inherent in my decision to leave and waive all liability against Ella D’Aloia arising from that decision. Likewise, if the leader has concluded the activity, and I decide to go forward without the leader, I assume all risks inherent in my decision to go forward and waive all liability against Ella D’Aloia arising from that decision.
10.8 I understand that physical activities involving physical exertion are part of an in person training. I understand I should be in good general health, free from cardiovascular and respiratory disease, and have good exercise tolerance. If I have any prior knowledge of any physical or other issue which may affect my physical capacity to participate in the retreat activities, I agree to obtain my physician’s approval, and to disclose these issues to Ella D’Aloia before commencing the activities.
10.9 To the fullest extent allowed by law, I agree to waive, discharge claims, and release from liability Ella D’Aloia, its officers, directors, organisers, employees, sub-contractors, agents, volunteers and leaders from any and all liability on account of, or in any way resulting from Injuries and Damages, even if caused by negligence of Ella D’Aloia, its officers, directors, organisers, volunteers, employees, sub-contractors, agents, and leaders, in any way connected with this activity.
10.10 I further agree to hold harmless Ella D’Aloia, its officers, directors, organisers, volunteers, employees, sub-contractors, agents, and leaders from any claims, damages, injuries or losses caused by my own negligence while a participant on the activities. I understand and intend that this assumption of risk and release is binding upon my heirs, executors, administrators and assigns, and includes any minors accompanying me on the activities.
10.11 This Agreement is intended to be as broad and inclusive as is permitted by law. If any provision or any part of any provision of this Agreement is held to be invalid or legally unenforceable for any reason, the remainder of this Agreement shall not be affected thereby and shall remain valid and fully enforceable.
10.12 By submitting this form and/or using a Ella D’Aloia website and/or participating in a Retreat, Trainings, Coaching, or Courses, I freely and voluntarily assume all risks of such Injuries and Damages.
It is a requirement of participating in Ella D’Aloia’s retreats that you have adequate health insurance, or the financial means, to cover the costs of any Injury or Illness which may occur during the retreat or as a result of your attendance at the retreat or participation in any of the retreat’s activities.
10.13 Ella D’Aloia offers trauma-informed insights and teachings, but is not a certified trauma specialist. If you feel that any past or current traumas are interfering with your ability to learn or participate in Ella D’Aloia’s offerings, workshops, or retreats, you agree to inform Ella immediately and please seek professional help. If you feel you are unable to continue, or a Ella D’Aloia training provider or teacher determines that you are unable to continue in your course/studies/training/graduation/etc for any reason (for example behavioural), you will need to leave the training/graduation/premises immediately, and you may also have your access to the online course paused indefinitely until there is a follow up dialogue with Ella D’Aloia to evaluate reinstatement.
11. Medical disclaimer
11.1 The activities associated with the Workshops, Courses, Coaching Sessions, and Retreats, including yoga & meditation sessions, internal and external massages, such as those offered, are intended as helpful activities and not as a replacement for medically necessary treatments or therapies. Always discuss physical and/or psychological complaints with a qualified specialist.
11.2 Always report to the supervisor of Ella D’Aloia whether you have physical complaints prior to the activity related to the Workshops, Courses, Coaching Sessions, and Retreats. Perhaps the supervisor of Ella D’Aloia can adapt the program to this or give individual exercises. Do not force anything and take physical complaints seriously. Participation is always at your own risk.
11.3 You declare that you refrain from claims against Ella D’Aloia and its escorts for any injury and any damage that you may incur and that may be related to participation in the activities associated with the Workshops, Courses, Coaching Sessions, and Retreats.
12. Health statement
12.1 When registering, the participant must always state any physical and/or psychological complaints, as well as the use of medication. Physical and/or psychological complaints arising after booking the trip must be reported to Ella D’Aloia immediately.
12.2 Failure to provide this information, incomplete or incorrect, may result in exclusion from (further) participation. Any costs resulting from this will then be borne by the participant.
12.3 Ella D’Aloia can, after requesting the booking, send a questionnaire or organize a short telephone interview to ask for any physical and/or psychological complaints. Based on this information Ella D’Aloia can decide to exclude participants with severe physical and/or psychological complaints from the Workshops, Courses, Coaching Sessions, and Retreats. The activities offered during the Workshops, Courses, Coaching Sessions, and Retreats are intended as leisure activities and not as a replacement for medically necessary treatments or therapy.
13. Privacy policy
13.1 Ella D’Aloia collects personal data from the Participants for its own customer base, for carrying out payment orders and for the administration of the applications. Ella D’Aloia handles this collection of personal data carefully and always adheres to the provisions of the Privacy Law.
13.2 Ella D’Aloia also uses the personal data collected in article 11.1 to inform the Participant of future activities of Ella D’Aloia and any changes to, for example, the program or location. If the Participant does not (anymore) want to receive communication from Ella D’Aloia, this can be communicated in writing via e-mail to hello@ella-daloia.com. The participant is aware that in that case all information, services and products of Ella D’Aloia may not be used.
13.3 Ella D’Aloia never transfers the personal data of the Participant to third parties without prior written permission.
14. Non disclosure agreement
14.1 The inherently sensitive nature of Ella D’Aloia’s courses, workshops, and retreats require that all participants do not share publicly or privately about any of the information, content, or experiences they have from Ella D’Aloia’s services without explicit prior written consent from Ela D’Aloia. In order to give you the best education, Ella provides you with access into her inner circle of wisdom, information, and experiences. Once a program, training, or retreat has been shared with you (either digitally or in person) you agree that if you have any negative, slanderous, disapproving, or concerned thoughts/reactions/complaints, that you will solely and directly communicate this with Ella. This is to protect the delicate and fragile nature of women’s work. You also agree to not report the work, activities, practices, or information to any authority (for example, if you find the content disturbing, offensive, problematic, etc).
15. User comments, feedback, and other submissions
15.1 If, at our request, you send certain specific submissions (for example a testimonial) or without a request from us you send creative ideas, suggestions, proposals, plans, or other materials, whether online, by email, by postal mail, or otherwise (collectively, 'comments'), you agree that we may, at any time, without restriction, edit, copy, publish, distribute, translate and otherwise use in any medium any comments that you forward to us. We are and shall be under no obligation (1) to maintain any comments in confidence; (2) to pay compensation for any comments; or (3) to respond to any comments.
15.2 We may, but have no obligation to, monitor, edit or remove content that we determine in our sole discretion are unlawful, offensive, threatening, libellous, defamatory, pornographic, obscene or otherwise objectionable or violates any party’s intellectual property or these Terms of Service.
15.3 You agree that your comments will not violate any right of any third-party, including copyright, trademark, privacy, personality or other personal or proprietary right. You further agree that your comments will not contain libelous or otherwise unlawful, abusive or obscene material, or contain any computer virus or other malware that could in any way affect the operation of the Service or any related website. You may not use a false e‑mail address, pretend to be someone other than yourself, or otherwise mislead us or third-parties as to the origin of any comments. You are solely responsible for any comments you make and their accuracy. We take no responsibility and assume no liability for any comments posted by you or any third-party.
16. Applicable law and dispute resolution
16.2 Complaints must be communicated in writing and motivated to Ella D’Aloia within 14 days after the Workshops, Courses, Coaching Sessions, and Retreats have taken place. The person complaining will receive a response within 14 days.
16.2 Any disputes relating to the General Terms and Conditions, the Workshops, Courses, Coaching Sessions, and Retreats, a Membership, or attending (private) class (s) at Ella D’Aloia will be settled exclusively by a recognised mediator.
17. Errors, inaccuracies, and omissions
17.1 Occasionally there may be information on our site or in the Service that contains typographical errors, inaccuracies or omissions that may relate to product descriptions, pricing, promotions, offers, product shipping charges, transit times and availability. We reserve the right to correct any errors, inaccuracies or omissions, and to change or update information or cancel orders if any information in the Service or on any related website is inaccurate at any time without prior notice (including after you have submitted your order).
We undertake no obligation to update, amend or clarify information in the Service or on any related website, including without limitation, pricing information, except as required by law. No specified update or refresh date applied in the Service or on any related website, should be taken to indicate that all information in the Service or on any related website has been modified or updated.
18. Behaviour participant
18.1 Ella D’Aloia expects the participants to behave respectfully towards each other and the organisation. In case of misconduct (drugs and excessive drinking, aggressive behavior, unwanted intimacies, coercion, manipulation, immaturity, unpleasantness, harassment, disruption of or preventing the flow of events, vandalism or theft), exclusion from further participation in the program will take place.
18.2 You will accept the instructions of the leader of the activity. You will accept the position of the leader of the training (for example, if they determine you are interrupting the proceedings of the training and ask you to leave).
19. Damage
19.1 Any costs because of damage will be covered by the person causing the damage.
20. Indemnification
20.1 You agree to indemnify, defend and hold harmless Ella D’Aloia and our parent, subsidiaries, affiliates, partners, officers, directors, agents, contractors, licensors, service providers, subcontractors, suppliers, interns and employees, harmless from any claim or demand, including reasonable attorneys’ fees, made by any third-party due to or arising out of your breach of these Terms of Service or the documents they incorporate by reference, or your violation of any law or the rights of a third-party.
21. Severability
21.1 In the event that any provision of these Terms of Service is determined to be unlawful, void or unenforceable, such provision shall nonetheless be enforceable to the fullest extent permitted by applicable law, and the unenforceable portion shall be deemed to be severed from these Terms of Service, such determination shall not affect the validity and enforceability of any other remaining provisions.
22. Termination
22.1 The obligations and liabilities of the parties incurred prior to the termination date shall survive the termination of this agreement for all purposes.
22.2 These Terms of Service are effective unless and until terminated by either you or us. You may terminate these Terms of Service at any time by notifying us that you no longer wish to use our Services.
22.3 If in our sole judgement you fail, or we suspect that you have failed, to comply with any term or provision of these Terms of Service, we also may terminate this agreement at any time without notice and you will remain liable for all amounts due up to and including the date of termination; and/or accordingly may deny you access to our Services (or any part thereof).
23. Entire Agreement
23.1 The failure of us to exercise or enforce any right or provision of these Terms of Service shall not constitute a waiver of such right or provision.
